These Terms and Conditions (“Terms”) govern the provision of services by SAMSON DIGITAL LTD (Company No. 17003239, registered office: 71-75 Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom; email: samson.webdesign@outlook.com) (“we”, “us”, “our”) to you (“you”, “Client”).

1. Services We provide:

• Custom website design and development (“Starter Website” or “Business Website” packages)
• Social media design packages
• One-on-one strategy calls (30–45 minutes)
• Related digital services

Services commence upon receipt of payment and your acceptance of any proposal/quote.

2. Payment

• Prices are as stated on our website (e.g., Starter Website £600, Business Website £1500, etc.).
• 50% deposit required for website projects; balance on completion/milestones.
• Payments via Stripe (non-refundable except as per Refund Policy).
• Late payments incur 8% statutory interest + compensation under Late Payment of Commercial Debts Regulations.

3. Intellectual Property

• Upon full payment, we grant you a non-exclusive, perpetual licence to use deliverables for your business.
• We retain ownership of pre-existing tools, templates, code libraries, and general know-how.
• You warrant that materials you supply do not infringe third-party rights.

4. Client Obligations Provide timely feedback, content, access credentials, and approvals. Delays may extend timelines and incur additional fees.

5. Timelines & Revisions Timelines are estimates. Revisions as per package (e.g., 2 rounds for Starter). Extra revisions charged at £[insert rate]/hour.

6. Warranties & Liability Services provided with reasonable care and skill. We are not liable for: indirect losses, business interruption, or third-party claims exceeding the fee paid. Total liability capped at the amount paid for the service.

7. Termination Either party may terminate for material breach (with 14-day cure period). You remain liable for fees due.

8. Governing Law English law. Exclusive jurisdiction of English courts.
